PSYNTH3 — END USER LICENSE AGREEMENT 2026-10-24 1. Product and scope of this document PSynth3 is a software instrument for Windows, available as a VST3 plugin and a standalone application. The features, contents and requirements of the purchased version are presented in product information before purchase. This license governs use of PSynth3 and the included product materials. The free HRL account, HRL Center, payment and data processing also have their respective separate documents. HRL Center is optional; installing it or keeping it running is not a condition of using PSynth3. 2. Purchase, price and delivery A standard PSynth3 purchase is a one-time purchase, without a subscription or automatic charges. The regular price is 49.99 USD. The promotional price is 39.99 USD until the end of 31 December 2026 in Europe/Warsaw time. From the start of 1 January 2027, that promotion ends and the regular price applies. Applicable taxes and the final amount payable are presented before payment. For a PSynth3 offer handled by Paddle, the transaction seller is the Paddle entity named at checkout and in the purchase confirmation. HRL supplies the instrument, its license and product support. Separately identified historical offers retain the relevant seller and terms of their purchase. After payment is confirmed, we prepare the entitlement and a purchase email containing a PS3R code. The delivery target is 15 minutes. A delay may require delivery retries or support assistance; it does not require paying again for the same purchase and does not restrict the buyer's rights if the product is not delivered. 3. Full license and musical materials A purchase grants one user a non-exclusive, perpetual license to use the purchased generation of PSynth3 on no more than three of that user's active computers. A company may pay for a license for a designated user. Three activations do not mean three independent users. The purchase does not transfer copyright in the software or the included factory materials. The user may create, publish and use musical works and recordings with PSynth3, including commercially. The user's own recordings and presets remain the user's materials, subject to rights in any third-party materials used. The license does not grant a right to copy, resell or distribute included factory presets, wavetables or other materials as standalone files or a bank of those materials. This restriction does not prohibit publishing or commercially using the user's works or recordings made with them. Separate component licenses and mandatory user rights remain preserved as stated in section 11. 4. Account and login A purchase is assigned to one free HRL account. The account serves the website, HRL Center and PSynth3; applications may have separate sessions. Login uses a one-time code sent by email, without setting a password. The login code is separate from the PS3R product code. Support does not ask for the login code. Without choosing “Remember me”, an HRL session lasts no more than 8 hours. In PSynth3 it remains in the memory of the running application or plugin module; ending the process or unloading the module requires logging in again. Closing the plugin window alone need not end such a session. After deliberately choosing to remember it, the session may be restored on that Windows user account for no more than 30 days. Refreshing does not extend this absolute limit. Logging out affects the selected session and need not end sessions in other applications. It does not deactivate the computer, revoke purchase ownership, or remove a valid license, settings, presets or projects. An account session ending does not mean the instrument's perpetual license ends. 5. Assignment, activation and offline use Assigning a purchase code to an account and activating a computer are separate operations. The address used for payment does not automatically assign ownership to an HRL account. A code can be assigned to one owner; a retry by that owner does not create another purchase. Later activations use the account's entitlement. PSynth3 and HRL Center share a local installation identifier and a signed license. Activation through both applications on the same computer should not occupy two slots. The identifier is random; it is not a scan of all hardware or confirmation of the user's identity. A correctly activated full license works offline without periodic login. Logging out, account-session expiry, API unavailability or lack of internet do not, by themselves, remove that license. A deadline for checking or refreshing its status is not the expiry date of a perpetual license. Refusing new account terms does not stop a valid installed offline license. New purchase assignment, activation or starting a trial may require deliberate acceptance of the current account terms in accordance with those terms. For a computer without internet, a .ps3req request file and a signed .ps3lic response can be exchanged with a computer that can access the service. New activation and management of computer slots require the activation service or the appropriate support procedure. Deactivation frees a slot and ends use on that computer; another computer of your own can then be activated within the available pool. If a computer is lost or an activation refusal is disputed, contact HRL. 6. Deliberately started trial The free trial permits full PSynth3 functionality for 3 × 24 hours from its deliberate start and issuance of the trial license. It does not require a card and does not create an automatic charge or purchase. Downloading, installing, DAW scanning and login alone do not start the trial. After choosing to try it, the panel may complete its start following login and the required confirmations. Logging in again, reinstalling, recovering the trial or using another computer does not move the original trial expiry. The trial uses a shared pool of no more than three of your own computers, rather than a separate trial period for each computer. After the trial expires, a new instrument instance does not generate sound without a valid full license. An instance that obtained entitlement during a valid trial may finish the current session or render after expiry. Closing and reopening the editor window alone does not create a new instrument instance. This behavior does not renew the trial license or authorize starting another instance after expiry. It does not apply to a received, valid revocation of entitlement. Trial expiry does not delete saved projects, settings or presets. Purchasing a full license requires a separate, deliberate user action. 7. Gifts, prizes and transfer An unassigned ordinary product code can be given as a gift. A competition prize has a normal product license by default. Special restrictions on a particular prize, including NFR, must be presented before entering the competition. After a code is assigned, the license has one owner. Codes or license files must not be shared to obtain additional unauthorized access. Giving someone a used code does not transfer ownership. Transferring an assigned license to another person is not an automatic account feature. It requires an agreed, available controlled support procedure and confirmation of entitlement; we do not promise automatic transfer availability. These terms do not restrict actions or rights that cannot be excluded by agreement. 8. Refunds, complaints and revocation of entitlement The buyer's applicable rights and the relevant Paddle policy at the time of the transaction apply to the purchase. HRL handles instrument problems, while Paddle handles payment and refunds. Using a product code is not grounds for refusing to consider a product complaint. Required information and confirmations concerning withdrawal and delivery of digital content are presented at purchase; using a code does not replace those confirmations. A confirmed full purchase refund or confirmed reversal of the entire payment (chargeback) revokes the corresponding entitlement. Repeating the same event does not create a new license or restore a revoked one. Partial refunds, tax-only refunds and reversed chargebacks require individual handling of the relevant transaction state; they do not automatically revoke or restore the entire license merely because of the name of such an event. An offline computer learns of a newer signed status during supported communication or import. This does not immediately disable a computer remotely without a connection. Technical offline behavior does not change the effects of a settled refund or the rules for using the license. A refusal of assignment or activation can be submitted for human review. Account deletion and purchase recovery Account deletion ends its sessions and self-service access to the library assigned to the previous ID, including management of new activations through that account. It is not a refund, does not uninstall the software or delete your projects and presets, and does not remove rights arising from the purchase or a valid installed perpetual license. A used code does not return to the pool. A new account with the same email address has a new ID and does not automatically recover the previous account's library. After account deletion or loss of mailbox access, support carries out controlled recovery following verification of the transaction and proportionate evidence of entitlement. Confirming access to a new mailbox is not, by itself, proof of purchase ownership. Recovery preserves the same purchase and entitlement, the used-code status, and the history and device limit. It does not issue an additional license, restart the trial or restore an entitlement revoked by a settled refund. A separate privacy notice describes the data retained to handle purchases, licenses and claims. 10. Updates, maintenance, support and continuity Bug and security fixes for the purchased generation are free. We provide at least 24 months of maintenance from purchase, without prejudice to further legal obligations. The end of this minimum period does not end the perpetual license. New major generations may be paid, with an upgrade offer for existing customers; the purchase does not include every future generation without an additional charge. When planning to end operation of the activation service, we will prepare a way to continue using and recovering licenses, including after changing computers. Emergency unlocking is a separate product-continuity procedure; it is not an ordinary activation after a temporary failure or a way to extend a trial yourself. Temporary service unavailability alone does not remove a valid full license stored locally. HRL's first response to a support request is provided by the next business day at the latest. The first-response deadline does not mean a repair will be completed by the same deadline. Include a problem description, software version, DAW used and transaction reference if the request concerns a purchase. Do not send login codes, session tokens or license files as an ordinary support attachment. 11. Documents, data, dependencies and mandatory rights The shared-account terms and privacy notice describe account, purchase, delivery and activation handling, providers, retention, deletion and data rights. Paddle also has separate sales and privacy documents. Marketing requires a separate choice; an account, purchase or trial does not subscribe you to the newsletter. PSynth3 records limited local technical diagnostics. The user deliberately exports a support report; the software does not send it automatically. The ordinary diagnostic ZIP does not include account data, licenses, project contents or recorded audio/MIDI. Availability of a basic exception report does not mean every crash is automatically fully reported. This EULA is a separate product document linked to the agreed set of HRL documents. We present material changes before they take effect, together with any required action. We preserve earlier documents and acceptance history. We do not retrospectively change the terms of completed purchases. Third-party software retains its own licenses, copyrights, exceptions and required notices included in the relevant package. This EULA does not restrict rights arising from those licenses or actions that cannot be prohibited by contract. If a component is covered by LGPL, the rights required by the applicable license remain preserved, including modification of the combined work for the recipient's own use and reverse engineering to debug such modifications, with the required materials or an offer to supply them. A conflicting EULA restriction does not apply to those rights. This does not grant an open-source license for the entire proprietary HRL product. These terms do not exclude the buyer's mandatory rights, product-conformity rules, complaints, legally required updates or consumer protection applicable to their circumstances. They do not introduce a general exclusion of the licensor's liability. Separate disclaimers by library authors do not constitute such an exclusion of HRL's liability to the buyer. 12. Licensor details and contact The licensor and instrument provider is Piotr Jaczewski, operating the sole proprietorship Nuera – Piotr Jaczewski. Address: ul. Januszowicka 13/12, 53-135 Wrocław, Poland. NIP: 8942771960. EU VAT: PL8942771960. Contact for the instrument, license and recovery: contact@homerecordslabel.com. The seller for the transaction for a Paddle offer remains the entity named at purchase.
